These terms apply to all services provided by Studio Prosper ("we", "us", "our") to business clients ("you", "your"). By completing a Stripe Checkout, paying an invoice from us, or claiming a cleaning introduction, you agree to these terms.
Plain English
Studio Prosper does two things. We build and host websites for small businesses (£199 setup + £49/month), and we connect businesses that need a commercial cleaner with vetted local cleaning companies ("Agency Connect"). For cleaning we only ever make the introduction; the contract is between the business and the cleaner, and we don't manage it. These terms cover both services.
1. Who we are
Studio Prosper is a sole trader business operated by David Prosper, based in Essex, United Kingdom.
This information is provided in accordance with the Electronic Commerce (EC Directive) Regulations 2002.
2. Websites — what you get
We design, build and host fast, mobile-first websites for small UK businesses. The standard package is:
£199 one-off setup fee, paid via Stripe before the site goes live. Covers design, build, content layout, mobile responsiveness, basic local-SEO setup (title, meta, schema), and putting it live on your domain.
£49 per month ongoing for hosting, domain, SSL certificate, monitoring and minor updates (typically 1–2 small edits per month). Starts when the site goes live.
Sorted over email. No meetings, no phone calls, no sales calls. You brief us by email, we build, you review by email, we put it live.
Typically a week from brief to live, depending on how quickly you confirm the brief and review the draft.
The £199 covers one round of revisions raised within 14 days of going live. Anything outside the original brief (extra pages, e-commerce, custom integrations) is quoted separately before we begin.
2a. Agency Connect — cleaning introductions
Separately from our website work, we run an introductions service ("Agency Connect") that connects businesses needing commercial cleaning ("Client Businesses") with independent local cleaning companies ("Cleaning Providers"). The following terms govern that service.
We are an introducer only. We are not an agent, employer, subcontractor, partner or representative of either party, and we are not a party to the cleaning contract. We do not provide cleaning services, employ or supervise cleaners, set prices, manage schedules, or handle any payments between the parties.
The contract is between the two parties. Once we make an introduction, the cleaning contract — including price, scope, schedule, quality, staffing and payment — is agreed and managed solely between the Client Business and the Cleaning Provider. We step out at the point of introduction.
Free to Client Businesses. Businesses seeking a cleaner pay us nothing, and are under no obligation to proceed with any cleaner we introduce.
Finder's fee (Cleaning Providers). A Cleaning Provider pays a one-off introducer fee of 10% of the estimated total value of the contract (minimum £49) to claim an introduction. The "estimated value" is our reasonable estimate from the brief (site type, frequency, term), used only to calculate the fee; the actual contract value is for the parties to agree. The fee is due on release of the introduction, by the method and within the period stated on the invoice. The Late Payment of Commercial Debts (Interest) Act 1998 applies to overdue sums, and we may suspend further introductions for non-payment.
The fee is non-refundable once the introduction is released — that is, once we have provided the Client Business's identifying contact details to the Cleaning Provider — regardless of whether the parties proceed, negotiations break down, the Client Business later cancels, or the Cleaning Provider declines to quote.
Exclusivity. We will not introduce the same Client Business's specific cleaning requirement to more than one Cleaning Provider at the same time; it is released to the first Provider to claim it. Exclusivity applies only to that initial requirement, not to the Client Business's other sites, services or future needs unless separately agreed.
Optional Partner plan (£29/month). Cleaning Providers may opt into a rolling monthly Partner plan that gives first pick of new contracts in their territory, automatic Google-review request handling for clients they win through us, and an early-cancellation replacement if a client cancels within 60 days. The Partner plan is optional and never required to claim a contract. Cancel any time with 30 days' notice.
No guarantee. We do not guarantee that any introduction will result in a contract, nor any particular price, frequency, duration, volume of introductions, or financial or operational outcome.
Liability. We are not responsible or liable for the acts, omissions, quality, conduct, insurance, accreditation, no-shows or work of any Cleaning Provider or Client Business, nor for any dispute, loss or damage arising between them. Each party must satisfy itself as to the other's suitability and arrange its own insurance, contracts and compliance. Our total liability in connection with Agency Connect is limited as set out in section 7.
Vetting. Where we describe a Cleaning Provider as "vetted" or "local" we mean we have carried out basic, good-faith checks (for example, that they are an active, locally-trading cleaning business). This is not an endorsement, accreditation or guarantee of quality, and does not transfer responsibility for their work to us.
B2B and data. Agency Connect is a business-to-business service. Our initial outreach to businesses and cleaners is a B2B communication under PECR on the basis of legitimate interest; reply "Remove" to be suppressed permanently. Full details are in our Privacy Notice.
3. How a website build works
Brief. You reply to one of our emails with your trade, your town, and the kind of work you'd like more of. Takes about a minute.
Payment. We send a Stripe Checkout link for the £199 setup. The build doesn't start until payment clears.
Build. We design and build the site within typically 5 working days. We don't book meetings or hop on calls; we send you the draft over email.
Review. One round of revisions raised within 14 days of go-live, included. We action them within 5 working days.
Go-live. Once you approve, we put the site live on your domain. The £49/month hosting fee starts that day.
Ongoing. Hosting, domain renewal, SSL, security patches and minor updates (1–2 small edits per month) are covered by the £49/month fee.
4. Your content & approval
You provide the business facts we put on the site (services, areas covered, opening hours, phone, email). You are responsible for the accuracy of that content. If we copy a detail from your existing online presence (e.g. a Google Maps listing) we will check the obvious ones with you, but the final responsibility for accuracy is yours.
Where we use AI tools to draft copy (typically the first version of "About us" or service descriptions), we review the output for accuracy before applying it. You then review and approve everything before go-live; nothing publishes without your sign-off.
You must not ask us to publish content that is unlawful, defamatory, or that infringes the rights of a third party. If you provide such content, you are solely responsible for it.
5. Cancellation, refunds & hosting
Before the build starts: the £199 setup fee is fully refundable. Email us within 14 days of payment if you change your mind.
After the build starts but before go-live: we refund 100% of the £199 if we cannot deliver, less any third-party costs already paid on your behalf (typically a domain registration).
After go-live: the £199 is non-refundable. You retain ownership of the site (see section 6).
Hosting cancellation: 30 days' written notice by email to team@studioprosper.co.uk. No exit fees. We do not refund partial months. We do not auto-renew without consent — the £49/month rolls until you tell us to stop.
Domain transfer on cancellation: if you registered your domain through us, we will transfer it to your registrar of choice at no cost when you cancel, provided you give us a working transfer code within 30 days.
6. Ownership
You own the design, content, and code of the website we deliver. You may export it, move it to another host, or have someone else maintain it.
We retain ownership of any underlying methodology, templates, runbooks, and internal tooling used to build your site. We grant you a non-exclusive, perpetual licence to benefit from them on the website covered by your project.
Third-party assets (stock images, fonts, libraries) remain the property of their licensors, and the licence we hold permits use on your site only.
7. Liability
Limit of liability: To the maximum extent permitted by law, our total liability for any claim arising from our services is capped at the total amount you have paid us in the 12 months preceding the claim.
What we are not liable for: Loss of business, loss of profits, loss of data, loss of reputation, or any indirect or consequential losses — however caused.
Service interruptions: We use reputable third-party tools (hosting providers, Stripe, SendGrid, Google Workspace) but cannot guarantee 100% uptime of any external dependency. We are not liable for losses caused by third-party outages.
Backups: We take routine backups of sites we host. We strongly advise you to keep your own copy of any critical content. We are not liable for loss arising from third-party platform failures or your own deletions.
Agency Connect: The additional liability terms in section 2a apply to cleaning introductions.
Governing law: These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
Late payment: The Late Payment of Commercial Debts (Interest) Act 1998 applies to overdue sums.
8. Business-to-business service
Both the website service and Agency Connect are offered on a business-to-business (B2B) basis. By purchasing or claiming an introduction, you confirm you are acting in the course of your trade, business, craft, or profession.
The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to B2B contracts. However, we voluntarily extend the 14-day refund right described in section 5 to any individual who purchases in error.
9. Your data & privacy
We collect and process limited personal data to deliver our services. Full details are in our Privacy Notice. In summary:
What we collect: business name, contact name, email, phone (if you provide it), postcode/town, the kind of cleaning or website work you want, and any content you supply for a build.
Why: to introduce a cleaner, build your site, deliver the service, and process payment.
Who we share with: Stripe (payments), the cleaning company you're introduced to (cleaning service only), our hosting provider (websites), SendGrid (email). We do not sell your data.
How long: active relationship + 12 months for general data; 6 years for financial records (HMRC requirement).
Your rights: access, correction, deletion under UK GDPR. We respond within 30 days of a request to team@studioprosper.co.uk.
10. How we contact you
If we contact your business cold, it is a business-to-business communication sent under the Privacy and Electronic Communications Regulations (PECR) on the basis of legitimate interest. We only contact businesses (not consumers), via the business email address listed publicly or on Companies House.
If you do not want to hear from us, reply with "Remove" and we will delete your details immediately and permanently. We maintain a suppression list to ensure you are never contacted again.
11. Complaints
If something goes wrong, email team@studioprosper.co.uk with the subject line "Complaint". We will acknowledge within 2 working days and aim to resolve within 14 working days.
If we cannot resolve your complaint directly, either party may refer the matter to the courts of England and Wales.
12. Force majeure
We are not liable for delays or failures caused by events outside our reasonable control, including (but not limited to) internet outages, hosting provider failures, natural disasters, pandemics, strikes, or government actions.
13. Changes to these terms
We may update these terms from time to time. If we make material changes, we will email active hosting clients and active Partner-plan cleaners at least 30 days before the new terms take effect. For one-off website setup or one-off introductions, the terms in force at the time of payment will continue to apply to that transaction.
14. General
Entire agreement: These terms, together with any invoice or checkout confirmation, are the entire agreement between us. No other promises or representations apply unless confirmed in writing.
Severability: If any part of these terms is found to be unenforceable, the rest remains in full force.
No waiver: If we do not enforce a right under these terms, it does not mean we have waived that right.
Assignment: You may not transfer this agreement to someone else without our written consent. We may transfer our obligations to another party provided the service quality is maintained.
